Angstrem to Join United Microelectronic Company by 2029

A major restructuring is underway for the Zelenograd-based microelectronics manufacturer Angstrem in Russia. The enterprise is planned to be integrated into the United Microelectronic Company (UMC), with the process starting in 2028 and concluding by the end of 2029. The merged structure will inherit active manufacturing facilities, engineering staff, and government orders.

  • Angstrem integration into UMC is scheduled for 2028-2029 to rescue the struggling microelectronics manufacturer.
  • The main issue is a massive debt of 238.1 billion rubles owed to VEB.RF due to the failed Angstrem-T project.
  • A new joint-stock company will be created to transfer working lithography and cleanroom assets without old debts.
  • The merger process itself is estimated to require 20 to 50 billion rubles, excluding future equipment modernization.

Financial Struggles and Massive Debt

At present, Angstrem is under external management, which was introduced in September 2025. The core problem of the enterprise is its staggering debt to the state corporation VEB.RF, which reached 238.1 billion rubles by June 30, 2026. These liabilities arose following the failure of the Angstrem-T memory microchip production project, for which the plant acted as a guarantor.

The company's financial standing has deteriorated significantly: in the first half of 2026, revenue nearly halved to 1.28 billion rubles. Instead of posting a profit as it did the previous year, the enterprise recorded a net loss of 112.5 million rubles, necessitating radical intervention to save its core manufacturing assets.

Asset Replacement Mechanism

To transfer working capacities safely, authorities are considering an asset replacement mechanism. A new joint-stock company will be established on the basis of Angstrem to receive the most valuable assets, including crystal production lines, assembly lines, photolithography, etching equipment, cleanrooms, and testing complexes.

Meanwhile, legacy and unprofitable assets, along with the bulk of the debt burden, will remain with the original legal entity. Shares of the new company could be put up for auction, allowing the primary creditor VEB.RF to acquire them against part of the debt or agree on a sale to a specialized investor.

Integration Costs and Industry Significance

Integrating Angstrem into UMC is projected to cost between 20 and 50 billion rubles, while subsequent equipment upgrades and production chain integration will demand even greater investments. For the consolidated company, the plant will serve as a valuable source of ready-made production facilities, clients, and skilled engineers.

A primary objective during the transfer and restructuring phase will be to maintain uninterrupted manufacturing output for government contracts and major customers without halting vital supply chains.
